Recent changes have put increased emphasis and scrutiny on organizations compensation disclosure statements. Gain a practical and current understanding of the Compensation Discussion and Analysis (CDA) section of the financial report and its many mandates, including the use of appropriate language, required tables, and the kinds of compensation that are required to be disclosed. After completing this session, you will be able to:
- Recognize the CDA disclosure requirements and the rules governing those disclosures.
- Identify the required option grant information.
- Identify the key CDA preparation steps.
- Recognize the seven CDA tables and the information that is included within.
- Recognize the disclosure requirements for related party transactions, corporate governance, and beneficial ownership.
- Identify the updated Compliance and Disclosure Interpretations (CDI’s) and pay ratio disclosures.
Meeting SEC disclosure requirements: Management’s discussion & analysis of financial condition and results of operations (Part 1)
This course will be an overview of:
- Compliance with Securities and Exchange Commission (SEC) regulations and guidelines is critical and applies to the Managements Discussion Analysis section of an entity’s annual financial report.
- We will discuss current MDA compliance and receive guidance that will clarify many of the complex issues related to preparing MDA disclosures.
After completing this course, the learner should be able to:
- Recognize the key MDA requirements of Item 303 within Regulation S-K.
- Recognize the MDA requirements contained within Staff Accounting Bulletins (SABs).
- Identify the MDA requirements for Interim Periods reporting.
- Recognize current issues addressed in MDA.

This course will be an overview of:
- Compliance with Securities and Exchange Commission (SEC) regulations and guidelines is critical and applies to the Managements Discussion Analysis section of an entitys annual financial report.
- We will discuss current MDA compliance and receive guidance that will clarify many of the complex issues related to preparing MDA disclosures.
After completing this course, the learner should be able to:
- Recognize the key MDA requirements of Item 303 within Regulation S-K.
- Recognize the key guidance provided under FRR-72, FRR-36, and FRR-83 regarding the preparation of MDA disclosures.
- Identify the MDA requirements for Interim Periods reporting.
- Recognize current issues addressed in MDA.

This course will be an overview of:

- We will discuss current MDA compliance and review guidance that will clarify many of the complex issues related to preparing MDA disclosures.
After completing this course, the learner should be able to:
